1. Acceptance of these Terms
These Terms of Service (the "Terms") are a binding agreement between you and Zeplik, Inc. ("Zeplik", "we", "us"), a Delaware corporation with its registered address at 1111B S Governors Ave, Dover, DE 19904, United States. They govern your access to and use of the Zeplik website, applications, and related services (together, the "Service").
By creating an account, purchasing a subscription, or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, do not use the Service.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2. The Service
Zeplik is an AI workspace that gives you access to conversational AI models from multiple providers through a single interface, together with features such as chat history, projects, file attachments, web search, skills, connectors, voice interaction, and related tools.
Usage of AI models is metered in credits. The specific models, features, and limits available to you depend on your plan. We may add, change, or remove models and features at any time, including where a third-party model provider changes or discontinues a model. We do our best to offer comparable alternatives when this happens.
We may offer a limited free experience, including a small number of free credits for new accounts and a limited preview for visitors who are not signed in. Free allowances are provided at our discretion, may be changed or withdrawn at any time, and carry no cash value.
3. Eligibility
You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent of a parent or legal guardian who agrees to these Terms on your behalf. By using the Service, you represent that you meet these requirements and that you are not barred from using the Service under any applicable law, including export control and sanctions laws.
4. Your account
You need an account to use most of the Service. You agree to provide accurate registration information and to keep it up to date. You are responsible for all activity under your account and for keeping your credentials secure. Notify us promptly at [email protected] if you suspect unauthorized use of your account.
Accounts are personal. You may not share, sell, or transfer your account, and you may not create accounts through automated means or under false pretenses.
5. Subscriptions, credits, and billing
Paid plans are sold as auto-renewing subscriptions (monthly, quarterly, or yearly) that include a credit allowance for each billing period. Additional credit top-ups may be available to active subscribers. Prices, allowances, and plan features are shown at the point of purchase and may change; changes apply from your next billing period.
Payments are processed by Stripe. We do not store your full card details. By subscribing, you authorize us and Stripe to charge your payment method the applicable fees, plus any taxes, at the start of each billing period until you cancel.
You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you keep access to your plan until then. Unused credits expire as described at the point of purchase; credits have no cash value and are not redeemable for money except where required by law or provided in our Refund Policy.
If a payment fails, we may retry it and may suspend paid features until payment is collected.
6. Refunds
Except as described in our Refund Policy or as required by applicable law, all payments are final and non-refundable. The Refund Policy describes the specific windows and usage thresholds under which first-time purchases and renewals can be refunded, including extended rights for consumers in the EU, UK, and Turkey.
7. Acceptable use
You agree not to use the Service to:
- violate any applicable law or regulation, or infringe the rights of others;
- generate or distribute content that is illegal, exploits or harms minors, or constitutes harassment, defamation, or credible threats of violence;
- develop, plan, or carry out activities that create a serious risk of harm, including weapons development, malicious cyberattacks, or fraud;
- circumvent usage limits, metering, rate limits, or safety measures, or access the Service through automated means not provided by us;
- probe, scan, or test the vulnerability of the Service, or interfere with its operation or with other users' use of it;
- resell, sublicense, or provide the Service to third parties as a service bureau without our written consent; or
- misrepresent AI-generated output as human-created where that misrepresentation causes harm, or use output to train competing AI models where prohibited by the applicable model provider's terms.
We may investigate suspected violations and may throttle, suspend, or terminate accounts that violate this section.
8. Your content
You retain ownership of the prompts, files, and other material you submit to the Service ("Input") and, to the extent permitted by law and by the applicable model providers, the output generated for you ("Output"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display your Input and Output as needed to provide and secure the Service, comply with law, and enforce these Terms.
You are responsible for your Input and for how you use Output. Do not submit content you do not have the right to share. We do not use your conversations to train our own or third-party foundation models.
9. AI-generated output
Output is generated by machine learning models and is probabilistic by nature. It may be inaccurate, incomplete, offensive, or misleading, and it may not reflect current events. Output is not professional advice. Do not rely on Output for medical, legal, financial, or other high-stakes decisions without independent verification by a qualified professional.
Given the nature of AI, Output may be similar to output generated for other users, and no exclusivity in Output is granted. You must evaluate Output for accuracy and appropriateness before acting on it or distributing it.
Zeplik provides access to models developed by third parties. We are not affiliated with, endorsed by, or sponsored by the developers of these models, and their names and trademarks belong to their respective owners.
10. Intellectual property
The Service, including its software, design, and branding, is owned by Zeplik and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. Except for this license, no rights in the Service are granted to you. You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law.
If you send us feedback or suggestions, you grant us the right to use them without restriction or compensation.
11. Third-party services
The Service depends on third-party providers, including AI model providers (accessed through routing infrastructure such as OpenRouter), payment processing (Stripe), and hosting and data infrastructure (Supabase, Railway). Your Input is transmitted to the applicable model provider to generate a response. Third-party services are governed by their own terms, and we are not responsible for their acts or omissions.
Optional connectors let you link external accounts (for example Google Drive or GitHub) to the Service. Connecting an external account is voluntary, and you can disconnect it at any time from settings.
12. Privacy
Our Privacy Policy explains what personal data we collect, how we use it, and the rights you have over it. By using the Service you agree to the processing described there.
13. Termination
You may stop using the Service and delete your account at any time from settings. We may suspend or terminate your access to the Service if you materially breach these Terms, if required by law, or if we discontinue the Service. Where practicable, we will give you reasonable notice and an opportunity to export your data.
Upon termination, your license to use the Service ends. Sections that by their nature should survive termination (including Sections 8, 9, 10, 14, and 15) survive.
14. Disclaimers and limitation of liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEPLIK AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF ONE HUNDRED US DOLLARS (USD 100) OR THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, or affects statutory consumer rights.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules, except where the mandatory consumer protection law of your country of residence applies.
Before filing a claim, you agree to contact us at [email protected] and give us 30 days to try to resolve the dispute informally. Any dispute that cannot be resolved informally will be resolved by binding arbitration in Delaware on an individual basis, except that either party may bring qualifying claims in small-claims court, and either party may seek injunctive relief for infringement of intellectual property rights in court. CLASS ACTIONS AND CLASS ARBITRATIONS ARE WAIVED TO THE EXTENT PERMITTED BY LAW. Consumers in the EU, UK, and other jurisdictions with mandatory forum rights retain the right to bring proceedings in their local courts.
16. Changes and contact
We may update these Terms from time to time. For material changes we will give you notice through the Service or by email before the change takes effect. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. If you do not agree, stop using the Service and cancel your subscription.
